  5.  BEFORE YOU USE THIS SOFTWARE, CAREFULLY READ THE TERMS AND
  6.  CONDITIONS OF THIS AGREEMENT. BY USING THIS SOFTWARE, YOU ARE 
  7.  CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS 
  8.  AGREEMENT.IF YOU DO NOT  AGREE TO ALL OF THE TERMS OF THIS 
  9.  AGREEMENT, DO NOT  USE THE SOFTWARE.

  11.  1. YAMAHA Corporation ("YAMAHA") grants to you a non-exclusive,
  12.     non-sublicensable,license to use this Beta version of the YAMAHA 
  13.     MIDPLUG (the"Software"), in binary executable form for evaluation
  14.     and trial use purposes only. THIS SOFTWARE CONTAINS CODE THAT 
  15.     DISABLES MOST OF ITS FEATURES AFTER DECEMBER.31,1998.

  17.  2. YAMAHA MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF
  18.     THIS  SOFTWARE OR ABOUT ANY CONTENT OR INFORMATION MADE 
  19.     ACCESSIBLE BY THE SOFTWARE, FOR ANY PURPOSE. THE SOFTWARE
  20.     IS PROVIDED 'AS IS'  WITHOUT EXPRESS OR IMPLIED WARRANTIES,
  21.     INCLUDING WARRANTIES OF  MERCHANTABILITY AND FITNESS FOR 
  22.     A PARTICULAR PURPOSE OR  NONINFRINGEMENT. THIS SOFTWARE 
  23.     IS PROVIDED GRATUITOUSLY AND, ACCORDINGLY,YAMAHA SHALL 
  24.     NOT BE LIABLE UNDER ANY THEORY OR ANY  DAMAGES SUFFERED
  25.     BY YOU OR ANY USER OF THE SOFTWARE. YAMAHA WILL NOT SUPPORT
  26.     THIS SOFTWARE AND WILL NOT ISSUE UPDATES TO THIS SOFTWARE.

  28.  3. All content accessed through the Software is the property of the
  29.     applicable content owner and may be protected by applicable 
  30.     copyright law. This License gives you no rights to such content.

  32.  4. While YAMAHA intends to distribute a commercial release of the 
  33.     Software, YAMAHA reserves the right at any time not to release 
  34.     a commercial release of the Software or, if released, to alter 
  35.     prices,features, specifications, capabilities, functions, 
  36.     licensing terms, release dates, general availability or other 
  37.     characteristics of the commercial release.

  39.  5. Title, ownership rights, and intellectual property rights in and
  40.     to the Software shall remain in YAMAHA. You agree to abide by the
  41.     copyright law and all other applicable laws of Japan including,
  42.     but not limited to, export control laws. You acknowledge that 
  43.     the Software in source code form remains a confidential trade 
  44.     secret of YAMAHA and therefore you agree not to modify the 
  45.     Software or attempt to decipher,decompile, disassemble or reverse
  46.     engineer the Software, except to the extent applicable laws 
  47.     specifically prohibit such restriction.

  49.  6. YAMAHA may terminate this License at any time by delivering 
  50.     notice to you and you may terminate this License at any time by 
  51.     destroying or erasing your copy of the Software. Upon termination
  52.     of this License, or in any event with in thirty (30) days 
  53.     following YAMAHA's release of a commercial version of the 
  54.     Software, you agree to destroy or erase the Software. In the 
  55.     event of termination, the following sections of this License will
  56.     survive: 2, 3, 4, 5, 6, and 7. This License is personal to you 
  57.     and you agree not to assign your rights herein. This License 
  58.     shall be governed by and construed in accordance with the laws of
  59.     Japan and, as to matters affecting copyrights, trademarks and
  60.     patents, by Japanese law. This License sets forth the entire 
  61.     agreement between you and YAMAHA.

  63.  7. YAMAHA SHALL NOT BE LIABLE FOR (a) INCIDENTAL,CONSEQUENTIAL,
  64.     SPECIAL OR INDIRECT DAMAGES OF ANY SORT, WHETHER ARISING IN
  65.     TORT, CONTRACT OR OTHERWISE, EVEN IF YAMAHA HAS BEEN INFORMED
  66.     OF THE POSSIBILITY OF SUCH DAMAGES, OR (b) FOR ANY CLAIM BY 
  67.     ANY OTHER PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY
  68.     TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT 
  69.     APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE,SOME
  70.     STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL
  71.     OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION
  72.     MAY NOT APPLY TO YOU.
